1. Acceptance of Terms

By accessing our website, purchasing Wix Studio templates, or engaging any services provided by Outumn Design Studio (“we,” “our,” or “us”), you agree to be legally bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must not use our website or services.

These Terms apply to all visitors, users, and clients worldwide.

2. Services Overview

Outumn Design Studio offers professional digital services including:

Wix Studio website templates
Template customization services
Fully custom website design and development
SEO setup and optimization
Analytics integration (e.g., Google Analytics)
Website maintenance and support services

All services are delivered based on agreed proposals, project scope, and written communication.

3. Eligibility

You must be at least 18 years old or have the legal authority to enter into binding agreements to use our services. By using our services, you confirm that you meet these eligibility requirements.

4. Scope of Work

The scope of each project is defined in the proposal, invoice, or written agreement. Any work requested beyond the agreed scope will be considered additional work and may incur extra charges and timeline adjustments.

5. Payments and Billing Terms

5.1 Payment Milestones

For all custom website design, template customization, and development services, the following payment structure applies:

50% Upfront Deposit: Required before project commencement. Work will begin only after this payment is received.
25% Upon First Draft Delivery: Payable once the initial website draft or prototype is shared with the client for review.
25% Upon Finalization & Ownership Transfer: Payable before final website handover, deployment, or transfer of full administrative ownership.
For maintenance services, fees are processed quarterly basis in advance / start of the respective quarter.
For business essentials tier, fee is processed 100% in advance.

5.2 Non-Refundable Fees

All payments made to Outumn Design Studio are non-refundable. Due to the digital nature of templates, design work, and development services, no refunds will be issued once payment has been processed, regardless of project stage.

5.3 Late or Missed Payments

Failure to adhere to the payment schedule may result in:

Suspension or delay of the project
Withholding of drafts, files, or previews
Delay in website launch or ownership transfer

5.4 Ownership and Access Transfer

Full website ownership, final files, and administrative access will only be transferred after the final 25% payment has been received in full.

5.5 Additional Charges

Any additional revisions, features, integrations, or scope expansions not included in the original agreement will be quoted separately and require prior approval and payment.

5.6 Accepted Payment Methods

Payments must be made through the approved methods listed on our invoices or proposals. Clients are responsible for any transaction fees, gateway charges, or currency conversion costs.

6. Intellectual Property Rights

6.1 Template Licensing

All Wix Studio templates created and sold by Outumn Design Studio remain our intellectual property until full payment is received. Upon purchase, clients are granted a non-exclusive, non-transferable license to use the template for a single business or client project unless otherwise agreed in writing.

Templates may not be resold, redistributed, sublicensed, copied, or shared.

6.2 Custom Website Ownership

Upon full payment, ownership of the final approved custom website design and content layout is transferred to the client. However, we retain the right to showcase the work in our portfolio, marketing materials, and case studies unless restricted by a signed non-disclosure agreement (NDA).

6.3 Third-Party Platform Compliance

Our websites are primarily developed using Wix and may include third-party tools. Clients agree to comply with all applicable third-party terms and policies when using such platforms.

7. Client Responsibilities

Clients agree to:

Provide accurate project requirements, content, images, and branding assets
Ensure they have legal rights to use all materials provided
Review drafts and provide feedback in a timely manner
Maintain active subscriptions for hosting, domains, or third-party services unless otherwise agreed

We are not responsible for project delays caused by incomplete information or delayed feedback from the client.

8. Revisions and Approvals

Each project includes a defined number of revisions as outlined in the proposal. Additional revisions beyond this limit may incur extra charges. Final approval of the website design signifies acceptance of the project deliverables.

9. Delivery Timelines

Estimated delivery timelines depend on project scope, complexity, and client responsiveness. While we strive to meet all deadlines, delays may occur due to:

Late content submissions
Delayed feedback or approvals
Scope changes during development

Average turnover time is 1-3 months. Outumn Design Studio shall not be liable for delays beyond its reasonable control.

10. Maintenance and Ongoing Support

Maintenance services include minor updates, performance checks, and technical support as specified in the service plan. Ongoing maintenance requires an active subscription or retainer agreement.

Major updates, redesigns, or feature additions are treated as new projects and billed separately.

11. SEO and Performance Disclaimer

While we implement industry-standard SEO practices and optimization strategies, we do not guarantee specific search engine rankings, traffic increases, or conversion rates, as these depend on external factors beyond our control.

12. Limitation of Liability

To the fullest extent permitted by law, Outumn Design Studio shall not be liable for:

Any indirect, incidental, or consequential damages
Business interruption, loss of profits, or data loss
Platform outages, third-party service failures, or policy changes
Client modifications made after project completion

Our total liability for any claim shall not exceed the total amount paid by the client for the specific service in question.

13. Third-Party Integrations

Websites may include integrations with third-party services such as analytics tools, payment gateways, or marketing platforms. We are not responsible for the functionality, availability, or policy changes of these third-party services.

14. Confidentiality

We respect client confidentiality and will not disclose proprietary business information, project details, or sensitive data without prior written consent, except where required by law.

15. Termination of Services

We reserve the right to suspend or terminate services if:

Payments are overdue
Terms are violated
The client engages in unlawful, abusive, or unethical conduct

Clients may terminate a project by written notice. Any work completed up to the termination date remains payable and non-refundable.

16. Data and Account Access

Clients are responsible for maintaining secure login credentials for their website platforms and associated tools. We are not liable for unauthorized access resulting from weak passwords, shared credentials, or third-party breaches.

17. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of [Insert Country/State], without regard to conflict-of-law principles.

18. Amendments to Terms

We reserve the right to modify or update these Terms at any time. Updated versions will be posted on our website with a revised “Last Updated” date. Continued use of our services after updates constitutes acceptance of the revised Terms.
